UPREZ offers are based on pay-per-use or subscription offers, described in Article 3-3 and detailed in Appendix 2 – UPREZ Price Schedule. Customers and/or Users declare that they have read the General Terms and Conditions. The terms used in these CTFs have the meanings given to them in the General Terms and Conditions or, failing that, in the context hereof.

2.3. Constraints on the use of Masters

Technical constraints
The Masters must be installed on an HTTP server.

Legal constraints
When NETINTERACTIVE delivers a Master to the Client, it grants the Client only a simple license to use said Master, worldwide and for the legal term of the rights, within the limits set forth herein. This license does not in any way grant the Client the right to access, replicate, modify, distribute, incorporate or perform any other action on all or part of the Webpublication software and/or the Webpublication Application contained in the Masters.

Article 3 – Credits and Financial Arrangements

3.1. Credits

To access and use the online services offered by NETINTERACTIVE, including the WEBPUBLICATION Solution and Digital Tools, the Client can:
either use an On-Demand Offer;
or subscribe to one of the Subscription Offers.

a) On-Demand Offer
The Client purchases a certain number of credits enabling the creation of Digital Tools (hereinafter referred to as the "Credits"). Credits purchased by the Customer:
are non-refundable; are valid for a period of one (1) year from their date of purchase. The Customer may, at any time, purchase new Credits online or through a NETINTERACTIVE sales representative. Credits are sold according to the applicable rates, available on the Website.

b) Subscription Offers
The Customer may subscribe to one of four (4) subscription offers (Bronze, Silver, Gold or Enterprise) for a period of twelve (12) months, automatically renewable on each anniversary of the commitment period for successive periods of twelve (12) months. Each offer includes:
a pack of Credits;
a set of included or available options. These offers are described in the current Price List, available on the Website. On each anniversary of the commitment period:
The customer's account is credited with the number of credits specified in the subscribed offer; Unused credits can be carried over from one year to the next for the duration of the contract. The Customer may downgrade their Subscription plan on the anniversary date. In the event of a change, any remaining Credits will be transferred to the new plan. The Customer may also purchase additional Credits at any time online or through a NETINTERACTIVE sales representative.

Article 3-2 – Use of WEBPUBLICATION Credits

3-2-1. General Principle

Access to the WEBPUBLICATION Solution and the creation or activation of Digital Tools (Digital Publications, Enhanced Digital Publications, Multimedia Galleries, advanced features, etc.) are carried out using a Credit system. Depending on the subscription plan (On Demand, Bronze Subscription, Silver Subscription, Gold Subscription, Enterprise Subscription), each action performed by the Client or their Users results in:
either a consumption of Credits, in accordance with the contractual schedule shown in Appendix 1 – Web Publication Schedule for Credit Usage;
either access to a feature included free of charge in the Offer;
or additional charges, when the option is indicated as "On quote".

The credits are debited:
at the time of publication of the Digital Tool;
or when an option or feature is activated;
or at the time of downloading the Master file, where applicable. The customer's credit balance can be viewed at any time within their private area. The Webpublication and Uprez Pricing pages, mentioned in Appendix 1 and Appendix 2 respectively, form an integral part of these Terms and Conditions. They are binding on the Client and supersede any prior or non-contractual commercial information.

3-2-2. Credits included according to the Offer

The number of credits included annually depends on the chosen plan:
On-Demand Offer: Packs of 50 Credits, valid for twelve (12) months from the date of purchase. Bronze Subscription: 500 Credits per year, which can be carried over. Silver Subscription: 1,500 credits per year, which can be carried over. Gold Subscription: 2,500 credits per year, which can be carried over. Enterprise subscription: Credit volume defined in the quote, rolloverable. Credits not used at the end of the contractual year are carried over in accordance with these CTFs.

3-2-3. Applicable Scale

A complete breakdown of credit usage for:
Simple Digital Publications,
Enhanced Digital Publications,
Multimedia Galleries,
advanced features (Wishlist, Replication, Security, AI, etc.),
accessibility options,
accommodation,
customizations,
as well as all the options available depending on the Offers,
is defined in Appendix 1 – Web publication scale for the use of Credits, which forms an integral part of these CTFs.

The following specific rules apply, however:

a) Changes to a publication
Simply updating an existing publication, as long as it remains the same publication, does not consume any Credits. Any new, independent version (e.g., 2026 vs. 2025 Annual Report, February vs. January Magazine) is considered a new publication and consumes Credits in accordance with Appendix 1.

b) Accommodation
Under the On-Demand Offers, hosting beyond the first year consumes Credits as per Appendix 1. In Subscription Offers, hosting is included for the entire duration of the subscription.

c) Accessible HTML versions
The first generation of an accessible HTML version is subject to the pricing structure indicated in Appendix 1. Each new generation of this same accessible version, resulting from a modification of the source publication, consumes one (1) Credit.

3-2-4. Changes to the scale

NETINTERACTIVE may modify, update, or supplement the Webpublication Credit usage schedule (for example: adding new features, changing costs in Credits, integrating new options). Any changes will be:
notified to the Client by any appropriate means;
incorporated into a new version of Annex 1. Credits already acquired by the Customer remain subject to the scale in force on the day of their consumption, as published on the Site.

3-2-5. Contractual Value of Appendix 1

Appendix 1 – Web Publication Fee Schedule:
forms an integral part of these CTFs;
prevails over any prior or non-contractual commercial or pricing information.

Article 3-3 – Use of Uprez Offers

3-3 – Uprez Offers: General Principles

3-3-1. Nature of the Uprez offer

Uprez's offerings constitute a separate service from the WEBPUBLICATION Solution. They allow the Client to:
manage a specific number of Users,
publish a defined number of Uprez presentations from InDesign ("InDesign Publishing"),
benefit from a presentation Web Library,
and, if necessary, to acquire additional volumes billed according to the applicable rates. They are based on a fixed annual system including a volume of users, supplemented by a number of InDesign publications.

3-3-2. Structure of Uprez Offers

Depending on the chosen offer (Pay As You Go, Bronze Subscription, Silver Subscription, Gold Subscription), the Customer benefits from:
of a number of Users included,
of a number of publications (InDesign Publication) included,
of a Web Library (1 unit in all Subscription Offers),
of a fixed annual fee,
of a scale of potential overages (additional user, additional publication). These elements are included in Appendix 2 – Uprez Scale, which forms an integral part of these CTF.

3-3-3. Overruns and additional charges

When the Customer exceeds the volumes included in their Uprez Offer:
Each additional User is billed according to the rates shown in Appendix 2;
Each additional InDesign publication is billed according to the rates shown in Appendix 2. These overruns are billed at cost, either monthly or annually depending on the Client's billing cycle.

3-3-4. Renewal and evolution of Uprez Offers

Uprez Offers are concluded for a period of twelve (12) months, with automatic renewal from year to year, unless terminated in accordance with the General Terms and Conditions. The customer may request to upgrade to a higher-level plan at any time. Downgrading to a lower plan is only possible on the anniversary date. In the event of changes to Uprez tariffs, NETINTERACTIVE:
inform the Client at least one (1) month before the annual due date,
updates Annex 2,
publishes the new rates on the Site. The prices in effect at the time of renewal apply automatically, unless the Client objects in writing under the conditions set out in the General Terms and Conditions.

a delay in completion times;

4.4. Price of the Service

The price of the Lab service:
is determined either as a fixed price or based on time spent, as indicated in the Purchase Order;
Prices are expressed in euros, inclusive of all taxes (TTC), unless otherwise stated. This price does not include any reasonable expenses incurred by NETINTERACTIVE (travel, accommodation, specific purchases made on behalf of the Client, etc.), which will be reimbursed by the Client upon presentation of supporting documentation. Unless otherwise stipulated, payment is due within thirty (30) days from the invoice date. In the event of total or partial delay in the payment of fees:
late payment interest equal to three (3) times the legal interest rate; as well as a fixed compensation of forty (40) euros for recovery costs

Article 5 – Ownership and Usage Rights

5.1. Content distributed by NETINTERACTIVE

NETINTERACTIVE retains ownership of all intellectual property rights relating to the WEBPUBLICATION Solution, the WEBPUBLICATION Application, and, more broadly, all technical, graphic, and functional elements made available to the Client, with the exception of Client Data. 5.2. Data provided by Clients and Users

The data and content used by Clients and/or Users for the creation of Digital Tools hosted on the WEBPUBLICATION Solution or used in Master mode remain the exclusive property of the Client. The Clients and/or Users declare and warrant:
to hold all the rights, authorizations and licenses necessary for the use of the Data in the context of the development of the Digital Tools,
This includes, but is not limited to, intellectual property rights attached to the content of the Data, as well as usage and exploitation licenses attached to the format of the files constituting the Data. The Clients and/or Users further declare and warrant that the Data used for the creation of the Digital Tools does not contain and will not contain personal data as defined by applicable regulations, unless prior agreement is obtained from NETINTERACTIVE and specific measures are put in place for this purpose.

If a Client and/or User wishes to use elements that may be considered personal data within the meaning of applicable regulations, for the purpose of creating Digital Tools, the Client and/or User agrees(s):
to contact NETINTERACTIVE beforehand so that they can determine the technical feasibility of such a request and, if necessary, prepare a commercial proposal including the costs resulting from the use of personal data; and, in any event, to take all necessary steps to comply with applicable legislation in their capacity as data controller. NETINTERACTIVE and/or its partners in charge of hosting the WEBPUBLICATION Solution and Digital Tools reserve the right to remove any illegal content, as well as any content that infringes the property rights of NETINTERACTIVE or third parties, or that is contrary to public morals.

5.3. Publications and achievements carried out via the WEBPUBLICATION Solution – Reversibility

NETINTERACTIVE grants the Client, worldwide and for the duration specified herein and in the Terms and Conditions, a right to use and display the work produced by the Client and/or a User using the WEBPUBLICATION Solution, in accordance with the General Terms and Conditions and the Terms and Conditions. In the event of termination of the contractual relationship:
The Client may download their Data as well as the Masters of the Digital Tools (within the limits stipulated by the CTFs);
or request that NETINTERACTIVE destroy them. The Masters are created from static HTML and JavaScript files, allowing their use on an HTTP server. The Client can request assistance from NETINTERACTIVE for Master installation, subject to a quote. NETINTERACTIVE is under no obligation to maintain and/or repair the Masters after they have been downloaded by the Client. Any content not downloaded within two (2) months of termination may be permanently destroyed by NETINTERACTIVE. NETINTERACTIVE grants the Client the right to use the Masters, after termination of the contract, under the conditions specified in the Terms and Conditions, worldwide and for the full legal term of the rights attached to the Masters, solely for the purpose of enabling the initial use of the publication and/or the result of the Service as intended during the term of the contract. In no case does this limited right of use confer on the Client any rights over all or part of the WEBPUBLICATION Solution, nor over all or part of the code composing the Webpublication software and/or the WEBPUBLICATION Application which partly constitutes the Masters.

Article 6 – Responsibility

NETINTERACTIVE hereby undertakes to use its best efforts to provide the WEBPUBLICATION Solution to the Client, within the framework of an obligation of means. NETINTERACTIVE cannot be held responsible:
no indirect, tangible or intangible damages, such as, in particular, loss of revenue, customers, data, image or business;
of any temporary unavailability of the Site, the WEBPUBLICATION Solution or the Digital Tools, when it results from:
maintenance, upgrade, or update operations;
failures or malfunctions attributable to third-party providers (hosting providers, telecom operators, external service providers, etc.);
events external to NETINTERACTIVE, such as network outages, cyberattacks, force majeure, or actions of the Client. In any event, if NETINTERACTIVE were to be held liable, the total compensation to which the Client could claim would, for all causes combined, be expressly limited to the amount actually paid by the Client to NETINTERACTIVE for the current contractual period.

Article 7 – Sanctions for breaches

In the event of a breach by the Client and/or a User of any of the resulting obligations:
of these CTFs,
and/or applicable laws and regulations,

Response and processing times are indicative and do not constitute a guarantee of results. Any request for assistance outside the scope of standard support (training, advanced configuration, specific development, strategic support, etc.) may be subject to a separate service and specific billing.

Article 9 – Roles of the Parties and general framework

Under this Agreement and the use of the WEBPUBLICATION Solution, associated Digital Tools and UPREZ:
NETINTERACTIVE acts:
as Data Controller for the Personal Data it collects directly from its clients (account management, invoicing, support, contract monitoring, B2B prospecting, etc.); as a Data Processor within the meaning of Article 28 of the GDPR for processing carried out on behalf of the Client on the Data that it integrates into the Digital Tools, in accordance with its documented instructions. The Client acts as the Data Controller:

10.2 Data Integrated into Digital Tools by the Client

The content (text, images, videos, PDFs, metadata, etc.) integrated by the Client and/or its Users into the Digital Tools remains the exclusive property of the Client. As a matter of principle, the Client undertakes not to integrate Personal Data, as defined by applicable regulations, into the Digital Tools, except with the prior agreement of NETINTERACTIVE and upon conclusion of the GDPR Annex – Subcontracting Agreement. If the Client wishes to integrate elements that may be considered Personal Data (for example: data collection forms, personalized spaces, identification of individuals), they agree to:
to inform NETINTERACTIVE beforehand;
to allow NETINTERACTIVE to assess the technical feasibility and security measures to be implemented;
to conclude the GDPR Annex – Adapted Subcontracting Agreement, including, where applicable, additional costs.

NETINTERACTIVE does not perform any profiling or individual behavioral tracking of end users of Digital Tools.

Article 12 – Technical Journals and Data Processing Security

12.1 Technical Journals

For security, diagnostic, and service continuity purposes, NETINTERACTIVE retains limited technical logs, including:

Article 13 – Accommodation, Transfers and Subcontractors

13.1 Hosting in the European Union

NETINTERACTIVE uses cookies and other technical tracking technologies to:
to ensure the operation and security of the Site and the WEBPUBLICATION Solution (strictly necessary cookies);

This consent can be withdrawn at any time via browser settings or the cookie management module, it being specified that some services may then be degraded or partially unavailable.

Article 17 – Entirety

If any provision of these Terms and Conditions and/or the General Terms and Conditions is declared void, illegal, or unenforceable, in whole or in part, by a competent authority or due to a change in legislation or regulations, that provision shall be deemed unwritten, without affecting the validity or enforceability of the other provisions. These CTFs, the General Terms and Conditions, the Privacy Policy, and, where applicable, the quotes, purchase orders and appendices, constitute the entire agreement between NETINTERACTIVE and the Client, and supersede any prior agreement, commitment or arrangement relating to the same subject matter.

Article 18 – Applicable Law – Jurisdiction

These Technical and Financial Conditions, as well as the General Terms and Conditions and, more broadly, the contractual relationship between NETINTERACTIVE and the Client, are governed by French law. Any dispute relating to the validity, interpretation or execution of this agreement, which cannot be resolved amicably, shall be subject to the exclusive jurisdiction of the Courts within the jurisdiction of the Court of Appeal of Versailles, even in the event of multiple defendants, third-party claims, emergency proceedings or summary proceedings, unless otherwise provided by public policy conferring jurisdiction on another court.
