These Technical and Financial Terms (hereinafter the "TFT"), which supplement the Terms and Conditions of Use and Sale (hereinafter the "Terms and Conditions") of the www.webpublication.co.uk website (hereinafter the "Website") define the technical and financial requirements for access to and use of the Website and online services, including the WEBPUBLICATION Solution and Digital Tools offered by NETINTERACTIVE as defined in the Terms and Conditions. Clients and/or Users declare that they have been made aware of the Terms and Conditions. The Definitions stipulated in Articles 1 and 2 of the Terms and Conditions are applicable to the TFTs.
Article 2: Technical Terms
To access and use the online services offered by NETINTERACTIVE, including the WEBPUBLICATION Solution and Digital Tools, Clients and Users must have at least the following:
To use the WEBPUBLICATION Solution: a Mac or PC computer with an up-to-date web browser (Google Chrome, Microsoft Edge, Safari, Firefox).
For creating enriched publications: Adobe InDesign CC, updated and with our extension installed.
For using Digital Publications, galleries and Uprez: - A Mac or PC computer with an updated web browser. - An updated Android, iOS or Windows tablet. - An updated Android or iOS smartphone.
Document formats accepted by the WEBPUBLICATION Solution and Digital Tools: images, videos, pdf, word, ppt, xls, HTML files, sound files.
Digital Publications can be created from non-password protected pdf files with the same page size.
Galleries can be created from any type of file. Files that could not be played in a Gallery online will be automatically downloaded to the device that attempted to access them.
Terms for using masters
System requirements for using masters:
Masters must be installed on an http server. Legal requirements for using masters: When NETINTERACTIVE delivers a Master to a Client, it only grants the Client a license to use said Master within the limits set forth herein for the entire world for the duration of these rights. This user license does not give the Client the right to access, replicate, modify, distribute, incorporate or perform any other action on all or part of the Webpublication software and Webpublication Application contained in the Masters.
Article 3: Credits
In order to access and use the online services offered by NETINTERACTIVE and the WEBPUBLICATION Solution and Digital Tools, the Client must purchase a certain number of credits enabling the creation of Digital Tools (hereinafter the "Credits"). The credits purchased by the Client are not refundable but are valid for a period of(3) years. The client can at any time purchase new credits online or upon request to one of our sales representatives.
Clients can purchase credits based on the current price list.
Use of Credits
The Client and/or User may use credits for a period of (3) years. Unused credits from the previous year (subscription date) will be available for use for 3 years. Each Digital Tool has a corresponding cost in Credits according to the following list:
Creation of digital tools
• 15 credits for creation of a simple Digital Publication (PDF),
• 30 credits for creation of a Multimedia Gallery linked to a publication (ex.: a gallery linked to a press kit),
• 50 credits for creation of an Enriched Digital Publication (InDesign),
• 150 credits for creation of a stand-alone Multimedia Gallery.
Hosting 1 additional year
• 5 credits / year for an additional year of hosting for a simple Digital Publication, an Enriched Digital Publication or a Digital Publication with linked gallery,
• 150 credits for an additional year of hosting for a stand-alone Multimedia Gallery.
Changes after the 90 days of free updates
• 15 credits for changes to a simple Digital Publication (PDF),
• 5 credits for changes to a Multimedia Gallery linked to a publication (e.g.: a gallery linked to a press kit),
• 50 credits for changes to an Enriched Digital Publication (InDesign),
Masters: First master free then
• 10 credits for creation of an additional master for a simple Digital Publication (PDF),
• 10 credits for creation of an additional master for an Enriched Digital Publication (InDesign),
• 150 credits for creation of an additional master for a stand-alone Multimedia Gallery.
• 2 credits / Uprez user per month.
Credits are debited at the time of publication for Digital Tools or when the Master is loaded by the Client and/or User. For Uprez users, credits are debited every month (20 credits per user per month). The Client may consult their Credit balance at any time in their Online Account.
Article 4: Agency Projects
Agency projects are subjects to an individual quotation. Orders to be confirmed in writing and incur a minimum 30% down payment (non-refundable deposit in case of order cancellation by the customer).

Article 1: Scope
The Terms and Conditions of Use and Sale (hereinafter the "Terms and Conditions") of the www.webpublication.co.uk website (hereinafter the "Website") define the terms for access to and use of the Website and online services offered by NETINTERACTIVE as defined hereafter.
1. Description of Services Offered by Netinteractive
NETINTERACTIVE offers, exclusively to professional clients, subscription to a commercial service that provides access to and use of an SAAS (software as a service) solution developed by NETINTERACTIVE (hereinafter "the WEBPUBLICATION Solution"), which allows the client: • subject to the system requirements and conditions of use and within the limits and in accordance with the terms set out in the Technical and Financial Terms (hereinafter "TFT"), • to use the WEBPUBLICATION software solution developed by NETINTERACTIVE (hereinafter referred to as the "WEBPUBLICATION Solution") to create and/or manage and/or modify the following digital communication tools, together or separately, (hereinafter referred to as the "Digital Tools"):
• Digital Publications
The digital publication service allows the Client and/or user to create a publication in HTML format (hereinafter referred to as "Digital Publication") by means of the WEBPUBLICATION Solution and WEBPUBLICATION in their Online Account, using a computer file in PDF format,
• Enriched Digital Publications
The enriched digital publication service allows the Client and/or user to create a publication in enriched HTML format (hereinafter referred to as "Enriched Digital Publication") by means of the WEBPUBLICATION Solution and WEBPUBLICATION in their Online Account, using a computer file in InDesign format. Enriched digital publications allow you to integrate features such as title animations, buttons and videos into an HTML publication using the InDesign software program. With Enriched Digital Publications, you can also include images, videos, or any type of digital content from files generated by Animate, Photoshop software published by Adobe, or any other software program that exports equivalent content mentioned in the TFT in the publication in HTML format.
• Multimedia Gallery
The multimedia gallery service allows the Client and/or User to create in their Online Account, using the WEBPUBLICATION Solution and WEBPUBLICATION, an interface for managing computer files which can be associated with Digital Publications and/or Enriched Digital Publications (hereinafter "Multimedia Gallery"). The Client and/or User can add digital publications, enriched digital publications, images, videos, pdf files, office files (word, excel, powerpoint, etc.) and additional HTML pages to their Multimedia Gallery. The Customer and/or User may at any time, in the case of a stand-alone multimedia gallery, add / modify / delete elements without spending any credits.
Digital Publications, Enhanced Digital Publications and Multimedia Galleries can include different options such as: • URL customization • adding a logo and/or menu bar and/or icons • custom interface colours • landing / home page • statistical tracker: Google or Xiti • downloading the Master • secure access with an anonymous login and password • popups for digital publications and enriched digital publications.
The Uprez service allows the Client to create a computer file management application (hereafter "Uprez") and to create enriched and personalized documents in their Online Account using the WEBPUBLICATION Solution. The Client and/or User can add digital publications, enriched digital publications, images, videos, pdf files, office files (word, excel, powerpoint, etc.) and additional HTML pages to their Uprez. The Client can add / modify / delete elements at any time. Uprez can be connected to the Client's CRM (SalesForce, Hubspot, or any Zapier.com compatible CRM). They can access statistics on document consultation and sharing in their Online Account. The Uprez user (a salesperson for example) can use their Uprez iOS, Windows or Android application or a web browser to consult the elements made available them by their management. A Uprez user can create their own "My Selection" of items to send to the customer. They can create their own enriched documents by editing an Enriched Publication or combining it with other elements (Image, PDF, video, product sheet, etc.). The user has their own storage space (2 Gb) in "My Documents" that lists the commercial offers that have been sent out. They can access and open documents that they have shared in the "My Sent Messages" menu. With the Uprez iOS, Android or Windows application or on a Windows 10 computer, the user can download all content in offline mode (Enriched Digital Publications, Digital Publications, photos, videos, ppt, xls, etc.).
Digital Publications, Enhanced Digital Publications and Multimedia Galleries are hosted on the servers of the partner selected by NETINTERACTIVE for the duration defined in the TFT. 2. Acceptance of the Terms and Conditions
Use of the website www.webpublication.co.uk and subscription to and use of the WEBPUBLICATION Solution provided by NETINTERACTIVE are subject to these Terms and Conditions. By subscribing to and/or using the WEBPUBLICATION Website and/or Solution, the Clients and/or Users acknowledge having read, understood and accepted in full the Terms and Conditions as well as the Technical and Financial Terms. Similarly, by using the Website and/or subscribing to the WEBPUBLICATION Solution, Clients and Users acknowledge that they have accepted the privacy and personal data protection policy as well as the Technical and Financial Terms and, where applicable, quotes and/or order forms. NETINTERACTIVE may, at any time, modify and update these Terms and Conditions as well as the Privacy and Personal Data Protection Policy and the Technical and Financial Terms. The Terms and Conditions of Use and Privacy and Personal Data Protection Policy in force at the time of use of the Website and/or subscription to the WEBPUBLICATION Solution and use and/or creation of a Digital Tool are those which are enforceable to the User. The Client acknowledges having been informed that the WEBPUBLICATION Solution is intended exclusively for professionals. The Client confirms that they have detailed knowledge of the technical and functional specificities of the WEBPUBLICATION Solution and have studied the Technical and Financial Terms communicated at the time of any request for subscription to the WEBPUBLICATION Solution. The Client has verified the compatibility of the WEBPUBLICATION Solution with their constraints and needs based on the aforementioned elements before subscribing to it. The Client acknowledges that they were able to make any desired requests for additional information concerning the WEBPUBLICATION Solution and Digital Tools at the following address: www.webpublication.co.uk/contact
Article 2: Definitions
In the Terms and Conditions and the FTC, words or expressions beginning with a capital letter, whether in the singular or in the plural, have the definition given in Article 1 and below:
“WEBPUBLICATION Solution”: means the services offered by NETINTERACTIVE as described in Article 1.
“User”: refers to any natural person designated by the Client to use the WEBPUBLICATION Solution and Website in accordance with the conditions and limits set out in these Terms and Conditions as well as the Technical and Financial Terms.
Article 3: Accessing and Using the Website and Webpublication Solution
1. Using the Website and Webpublication Solution
The WEBPUBLICATION solution is hosted at the datacenters of the French service provider OVH, it is backed up daily to ensure a high level of service and optimal availability: 99.9% of the time, 24 hours per day, 7 days per week. However, NETINTERACTIVE reserves the right to temporarily suspend the operation of the WEBPUBLICATION solution, without prior notice or compensation, in particular, to carry out maintenance or updating operations. Furthermore, NETINTERACTIVE does not guarantee uninterrupted operation of the WEBPUBLICATION solution or that the third-party sites accessible by hypertext links do not contain viruses. NETINTERACTIVEis not responsible for any damage resulting from modifications to the Website or the WEBPUBLICATION Solution, or from their temporary or permanent closure. NETINTERACTIVE shall not be held liable in the event that one or more Clients and/or Users are unable to access the Website and/or their Online Account and/or the WEBPUBLICATION Solution and Digital Tools due to any technical defect or problem of any kind. The purpose of the Website is to present the activities of NETINTERACTIVE and the WEBPUBLICATION Solution and to allow subscription and access to the Online Account and the WEBPUBLICATION Solution. NETINTERACTIVE reserves the right to refuse any Client and/or User access to the Website and/or their Online Account and/or the WEBPUBLICATION Solution if it considers that the latter is making fraudulent use of the Website and/or the WEBPUBLICATION Solution, or if they cause harm to NETINTERACTIVE by any action whatsoever. In the event of a change of host or data storage location, NETINTERACTIVE shall inform its Clients one month before the migration.
2. Access to the Webpublication Solution
To subscribe to the WEBPUBLICATION Solution on the Website, the Client must first create an account by filling out the form available at https://fr.adminzone- secure.net/react-admin/#/register. The Client must fill in all mandatory fields with true, accurate and complete information. The Client agrees to provide NETINTERACTIVE with proof of this information at the Company’s request, and to update it regularly. The Client is hereby informed that the communication of any erroneous, incomplete or misleading information is likely to: • make the Client liable both to third parties and NETINTERACTIVE, • and/or lead to immediate termination of their WEBPUBLICATION Solution subscription contracts for breach and refusal of access to the Website and the WEBPUBLICATION Solution.
The Client and/or Users shall not allow any third party to have access to their login and/or password and agree to keep this information confidential. The Client and/or User shall be responsible for their logins and/or passwords.
I. Purchase of Credits for the WEBPUBLICATION Solution
The Client purchases one of the Credit Packages offered (hereinafter the "Credit Package"), which allows for services to be provided during a given period in accordance with the Technical and Financial Terms either by: logging on to their Online Account and going to the address: https://fr.adminzone-secure.net/react-admin/ requesting a quote and/or information and/or subscription by email at firstname.lastname@example.org
II. Prices / Means of Payment
The Price of each Credit Package and the cost in credits for the creation of each Digital Tool is available on the current Price List. The credit packages required to purchase Digital Tools are payable by credit card and/or bank transfer and/or direct debit authorization at the time of subscription in accordance with these Terms and Conditions and the Technical and Financial Terms. The Client may, however, use the solution in Demo mode. Demo mode allows the Client to create digital tools and submit them for approval. Only Publishing Online will cost credits. Any delay in payment will incur the legal indemnity for collection provided for in Article L441-6 of the French Commercial Code, in addition to reimbursement of costs incurred in excess of the amount of said legal indemnity at the expense of the Client. Moreover, in the event of delayed payment, in addition to the aforementioned legal indemnity, the Client is liable for late payment penalties, and no reminder is required.
III. Access to the WEBPUBLICATION Solution
The WEBPUBLICATION solution is accessible 99.9% of the time, every day, 24 hours per day without interruption. NETINTERACTIVE may temporarily interrupt access to the WEBPUBLICATION Solution in order to carry out maintenance or repairs, without such service interruptions giving rise to compensation.
• “Client”: refers to any professional who has subscribed to the WEBPUBLICATION Solution. • “Data”: refers to the data, computer files, documents and information used directly by the Client and/or User to produce Digital Publications and/or Enriched Digital Publications and/or Interactive Galleries and/or Uprez by means of the WEBPUBLICATION Solution. • “Personal Data”: means all personal data as defined by the laws and regulations in force. • “Online Account”: means the private part of the Website accessible to a single Client and to one or more Users designated by said Client within the limits and conditions set by the Technical and Financial Terms by means of an anonymous password and a customizable password. • “Master”: means a set of computer files including elements of the WEPBUPLICATION software solution and/or the Webpublication Application allowing for stand-alone use, within strict limits.
Access to the WEBPUBLICATION Solution may be suspended by the hosting partners; the Client declares that they have been made aware of said partners’ terms and conditions of sale and use available at the following addresses and is hereby informed that no compensation may be obtained for interruption and/or suspension and/or degradation of the Services and/or loss of Data resulting from the hosting services.
IV. Credit Lifetime
The credits purchased by the Client are not refundable but are valid for a period of (3) years.
V. Technical Specifications
The Client may only use the WEBPUBLICATION Solution if they have the hardware and software listed in the Technical and Financial Terms. NETINTERACTIVE manages traffic in various ways in order to preserve its infrastructure and Services for the Client. For this reason, the Client’s use of the WEBPUBLICATION Solution Services may be limited and/or suspended.
VI. Using the Website and WEBPUBLICATION Solution
Digital Tools are created by the Client and/or Users alone and are under their sole responsibility using the WEBPUBLICATION Solution, through which they can: • create Digital Tools using Data that they directly upload/transmit through the WEBPUBLICATION Solution • configure Digital Tools and select options, whether or not they cost credits.
Article 4: Ownership and Rights of Use
1. Content distributed by netinteractive
NETINTERACTIVE is and remains the exclusive owner of all the elements making up the Website, including drawings, images, logo and texts, as well as the domain name webpublication.fr and the trademarks WEBPUBLICATION, UPREZ and NETINTERACTIVE. Each Client and/or User has a personal, non-exclusive and non-transferable right to use and access the Website and WEBPUBLICATION Solution. Prior agreement, expressly notified in writing by NETINTERACTIVE, is sine qua non for granting any additional rights to the User and/or Client. NETINTERACTIVE reserves the right to modify or add content to the Website at any time.
2. Data provided by clients and users
The data and content used by Clients and/or Users to create Digital Tools hosted on the WEBPUBLICATION Solution or for use in Master mode are and shall remain the property of the Client. Clients and/or Users declare and guarantee that they are the holders of all rights, authorizations and licenses necessary for use of the Data to create Digital Tools, including, but not limited to, the intellectual property rights to the content of the Data as well as licenses for use of the file formats constituting the Data. Clients and/or Users declare and guarantee that the Data used by them to produce the Digital Tools does not contain and may never contain personal data as defined by the regulations in force. If a Client and/or a User wishes to use elements that may be considered personal data as defined by the aforementioned regulations for producing Digital Tools, the Client and/or the User agrees to: contact NETINTERACTIVE in advance so that it can determine the technical feasibility of such a request and, if necessary, produce a commercial proposal including the costs incurred from the use of personal data take all necessary measures to comply with the legislation in force in their role as Data Controller.
NETINTERACTIVE and/or its partners in charge of hosting the WEBPUBLICATION Solution and Digital Tools reserve the right to delete any illegal content as well as any content that infringes on the intellectual property rights of NETINTERACTIVE or third parties, or constitutes an affront to public decency.
3. Publications and creations made with the Webpublication / reversibility solution
Article 5: Liability
NETINTERACTIVE hereby agrees to make its best effort to provide the WEBPUBLICATION Solution to the Client and is bound to the latter by an obligation of means. NETINTERACTIVE shall not be held liable for any indirect damage, nor for any prejudice resulting from possible loss of income or business by the Client.
Article 6: Penalties for Breach
In the event of a breach of any of the obligations of these Terms and Conditions or of laws and regulations by the Client and/or any User, NETINTERACTIVE reserves the right to:
Suspend or remove access to the WEBPUBLICATION Solution for the Client responsible for the breach or having participated in it
Delete any content or Digital Tool related to the breach or violation
Take all appropriate measures and legal actions
Notify and cooperate with the competent authorities
Article 7: Technical Assistance
We are committed to providing you with standard support on business days from 9 a.m. to 6 p.m. for the WEBPUBLICATION solution at no additional cost.
Article 8: Rights Conferred by the French Data Protection Act
In accordance with the French Data Protection Act, Law n° 78-17 of January 6, 1978, the Client has a right to access, correct and oppose their personal data. The Client may prohibit or restrict dissemination or use of their personal data by notifying NETINTERACTIVE on the webpublication.fr website or by mail to NETINTERACTIVE, 45 rue Jean Jaurès 92300 Levallois-Perret. The Client may exercise this right by sending an e-mail to email@example.com
Article 9: Identity of the Data Controller
NETINTERACTIVE has been declared to the CNIL. Personal Data relating to its clients is collected by NETINTERACTIVE at the address: https://webpublication.fr/. The Client is the data controller for the Data and any Personal Data it may include. The Client is solely responsible for the Personal Data that they include in the Data used to produce the Digital Tools. Since NETINTERACTIVE can only have access to and/or knowledge of the Data used by the Client for the creation of Digital Tools after it has been processed by the Client, NETINTERACTIVE cannot be considered responsible for processing, nor as a subcontractor of said data, since it has no autonomy in the processing thereof. If the Client informs NETINTERACTIVE that they will use Personal Data to create Digital Tools, NETINTERACTIVE, if it consents to the use of this Data by the Client:
shall ensure that the required security measures are in place
shall obtain documented instructions from the Client, who voluntarily agrees to provide said instructions and is the data controller, including with regard to the transfer of personal data to a non-EU country;
shall ensure that the confidentiality of said Personal Data is respected;
shall ensure that the conditions for hiring a subcontractor are met;
shall assist the data controller in processing, with appropriate technical and organizational measures, to the greatest possible extent, in order to enable it to respond to requests from Data Subjects;
shall help the data controller to ensure compliance with its legal obligations;
shall make available to the data controller all the information necessary to demonstrate compliance with its obligations and to allow for auditing.
NETINTERACTIVE acknowledges that the data to which it may have access during the execution of the Contract is confidential information. The confidentiality obligations shall persist for three (3) years from the date of termination of the Contract.
Personal data may only be processed by a subcontractor upon consent by the Client.
NETINTERACTIVE agrees to comply with European and French standards when processing data transmitted by Clients, in particular the provisions of the French Data Protection Act, as well as the relevant European laws.
The Website may contain links to third party sites. In no case may NETINTERACTIVE be held liable for the content of these links, their privacy policies and personal data protection policies.
When Clients and/or Users visit these third-party sites, their personal data may be collected. Clients and Users are invited to read the terms and conditions of use of these sites.
Clients who wish to subscribe to the WEBPUBLICATION Solution on the Website must provide the information indicated below, including company name/name, address and a contact e-mail address. After registration, NETINTERACTIVE shall create a Client account and one or more anonymous User accounts depending on the Services and options selected by the Client. Any Client may modify or delete their Client account and the associated user accounts at any time by contacting NETINTERACTIVE by telephone on 01 84 17 85 99 or by e-mail at firstname.lastname@example.org.
Article 11: Data that May be Collected on the Website
Data is collected through information directly provided by the Client, or as a result of the Client and/or the User’s actions on the Website.
NETINTERACTIVE processes and collects the following data: company name, address, name of legal representative, telephone number, IP address, connection and navigation data when authorized by the User, history of orders, transactions, complaints, incidents and correspondence on the Website.
The data to be provided at the time of collection is, unless otherwise stated, mandatory.
Information is collected when the Client: • Creates an account and/or subscribes to the WEBPUBLICATION Solution • Uses the WEBPUBLICATION Solution • Browses the Website • Contacts customer service.
NETINTERACTIVE is the authorized recipient of Clients’ Personal Data and agrees not to share any Personal Data concerning the Clients and/or Users. This data may be sent to subcontractors used by NETINTERACTIVE as part of service operations, including hosting services for the Website and WEBPUBLICATION Solution.
NETINTERACTIVE neither sells nor rents Personal Data received from Clients to third parties for prospection without their formal and express consent.
Article 12: Purpose of the Collection of Personal Data
The main purpose of collecting Personal Data is to provide Clients with a safe, optimal, efficient and personalized experience. The Client consents to use of their personal data by NETINTERACTIVE in order to:
Provide and improve the WEBPUBLICATION Solution
Resolve any problems and disputes
Customize, assess, improve Services
Inform Clients about the WEBPUBLICATION Solution and Digital Tools using targeted marketing and/or promotional offers, with the consent of the Clients and/or Users
Prevent, detect and investigate any potentially prohibited and illegal activities and enforce NETINTERACTIVE's Terms and Conditions
Fulfill its legal and regulatory obligations.
Article 13: Cookies
A cookie is not used to collect personal data without the knowledge of the Client and/or User, but to rather to record information on the Client's and/or User's browsing of the website, which may be read directly by NETINTERACTIVE during subsequent visits and requests by the Client and/or User. This may include the pages consulted, or the date and time at which the pages were consulted.
NETINTERACTIVE allows Clients and/or Users to refuse all cookies. As a result, browsing will be limited on certain pages of the website.
Through cookies, Clients and Users can be recognized at their next visit, use of the Webpublication Solution by Clients and/or Users on the Website and/or the WEBPUBLICATION Solution can be secured, the Client and/or User’s choice of language can be saved, and NETINTERACTIVE can analyze traffic on the website's information pages in order to improve the content.
By default, cookies are not automatically installed, except for those necessary for operation of the website and Services. In compliance with the regulations in force, NETINTERACTIVE requires the consent of the Client and/or User before installing any other type of cookies.
The Client and/or User may set their browser software to refuse or delete cookies.
Article 14: Severability
In the event that one of the provisions of these Terms and Conditions and/or the Technical and Financial Terms should become null and void due to a change in legislation or a court decision, this shall in no way affect the validity of and compliance with the other clauses of these conditions.
Article 15: Applicable Law – Jurisdiction
These Terms and Conditions and the Technical and Financial Terms are governed by French law. Any disagreement or dispute that cannot be settled amicably is subjectto the jurisdiction of the Courts under the jurisdiction of the Court of Appeals of VERSAILLES, notwithstanding multiple defendants, introduction of third parties, emergency proceedings or summary proceedings, unless the rules of public order assign jurisdiction to other courts.
